The following terms have been established by Magnet Forensics to set out the rights and obligations of a sponsor of the 2019 Magnet User Summit and become effective with Magnet Forensics’ written confirmation of a sponsor application.

Payment Terms. Advance payment is required for any sponsorship.

Cancellation by Sponsor. Cancellations must be in writing and shall become effective when received by Magnet Forensics. In order to receive a refund, written notice must be received by Magnet Forensics no later than 60 days prior to the conference date.

Attendance. Magnet Forensics makes no representations or warranties with respect to the demographic make-up, volume of exhibitors and/or number of attendees at this conference.

Sponsor Listing in Promotional Materials. If included within the applicable package, promotional materials will include the sponsor’s promotional materials and references to the sponsor, such as the sponsor’s name, logo, company description or company advertisement. To ensure inclusion of any materials, such information and artwork must be provided within the agreed time limit. The failure of any sponsor to meet specific deadlines shall not result in the return or any sponsorship fees already paid or relieve the obligation to complete the payment of any remaining sponsorship fees.

Endorsement. The sponsor is not permitted to represent that its goods or services have been endorsed by Magnet Forensics unless Magnet Forensics has specifically and in writing provided such an endorsement. The sponsor may not use Magnet Forensics’ logo, name or trademarks in advertising unless approved in writing by Magnet Forensics.

Displays, Decorations, Conduct. Displays, decorations, signage may not damage any part of the venue. sponsor shall be solely responsible for all damage resulting from any of the above actions. Sponsors are responsible for securing the safety of their exhibits, marketing materials, and electronics.

Liability. Sponsor agrees that Magnet Forensics, the venue (its owners and its management company), and their respective employees are not liable for any theft, damage or loss to property or for any injury that may occur to the sponsor, its agents, employees. The sponsor assumes the entire responsibility and liability for losses, damages, and claims arising out of activities in the venue or at the conference and will indemnify, defend, and hold harmless Magnet Forensics and its employees from any such losses.

Conference Cancellation and Postponement. Magnet Forensics in its sole individual discretion, reserves the right to cancel or postpone this event at any time without any liability for the fulfillment of this contract and all fees paid by sponsor shall, in the sole discretion of Magnet Forensics, be either credited to a future conference or refunded on a prorated basis (minus any direct costs and overhead expenses). If the conference or part thereof is cancelled or postponed for any reason beyond the control of Magnet Forensics such as, but not limited to, damage or destruction to venue buildings, war, riots, strikes, fire, floods, weather, termination by sponsoring/hosting organization, acts of government, terrorism, or acts of God, or the breach or termination of the venue contract, then Magnet Forensics is not obligated to refund any fees. In any such case, credits from the event postponement or cancellation must be used within 12 months of the original postponement/cancellation dates. After 12 months a credit on account will be considered earned by Magnet Forensics and non-refundable.

Law. These terms shall be governed by the laws of Ontario, Canada, without regard to any application of the same that would result in the laws of any other jurisdiction applying, and each of Magnet Forensics and the sponsor hereby submits to the exclusive jurisdiction of the courts of Kitchener, Ontario, Canada.
